The firm has several experienced mediators and provides an alternative to the traditional approaches of dispute resolution by providing arbitration and mediation services.

Consistent with the American Bar Association's recommended procedure, our firm determines financial arrangements with each client prior to the start of any legal work. These arrangements must be satisfactory to the client, who regularly receives clear and concise information on the status of the client's account charges.

Practice Overview

Business
The Business Group deals with transactions involving commercial contracts, acquisitions and mergers, joint ventures, franchising and computer acquisition and servicing agreements. This Group handles the basic functions involved in modern corporate law, dealing with the laws affecting, creating, maintaining, and reorganizing corporations and their business entities, including professional service corporations, LLC's, LLP's and LLLP's. The attorneys in the Business Group counsel clients on debt restructuring and find innovative solutions to complex financing issues. We offer services as counsel in connection with matters involving EEOC compliance, and matters before regulatory agencies and in the state and federal courts. We also counsel business and professional clients in the increasingly complex area of federal, state, and local government regulation.

Tax
The Business and Tax Groups are integrally connected, and serve local, state, and national business enterprises, non-profit institutions, and individuals. In the tax area, the firm provides clients with planning and counseling for incorporations, acquisitions, sales, liquidations, estate planning, and other tax-related corporate and partnership matters. In addition, the Tax Group represents clients in IRS audits, appeals, court proceedings and securing rulings, and before state agencies and courts regarding state tax problems, assessments, and disputes. 

Banking
The Banking Group represents banks and other lenders in connection with business, real estate and commercial loan transactions. Attorneys in this Group are skilled in drafting loan documents in a wide variety of transactions, ranging from those involving routine promissory notes, deeds of trust, and security instruments to those concerning more complex situations involving real estate equity participations. Our attorneys provide a ready source of immediate advice for lenders who need to make quick decisions or seek ways to solve complex problems.

Bankruptcy (Including Reorganizations and Creditors' Rights)
The Bankruptcy Group counsels individuals and businesses experiencing financial difficulties. Our attorneys review and analyze the client's financial condition and make recommendations appropriate to the client's special situation, whether through business workouts or relief under applicable state or federal law. If a Chapter 11 reorganization under the Bankruptcy Code is required, our attorneys use their expertise to assist the client with the formulation of a business plan for successful rehabilitation. In those instances where filing under the Bankruptcy Code would be ill advised, our may attorneys provide alternatives such as insolvency procedures in the state courts, assignments for the benefit of creditors, or receiverships. Additionally, our attorneys advise clients in all areas of creditors' rights, including, for example, representation of creditor committees, collection of judgments, foreclosure of mortgages, enforcement of security interests, and the institution of mechanics' liens and similar actions to secure collection of debts. 

Litigation
Our attorneys handle a wide range of hearings, trials, and appeals in state and federal courts, before administrative agencies, and in arbitration and mediation proceedings. We have a well-developed familiarity with commercial litigation, as well as litigation on behalf of plaintiffs and defendants based upon personal injury claims and product liability matters. The firm's litigators work closely with attorneys in other areas of concentration in formulating strategy, negotiating, and, when necessary, instituting or defending lawsuits.

Matrimonial/Family Law
The Family Law Group counsels clients in connection with pre-nuptial agreements, separations and divorces, child custody disputes, child abuse claims, and a large variety of other related matters. This Group regularly draws upon the resources of the firm's Business, Real Estate, Tax and Estates and Trusts Groups to assist in rendering advice on tax planning and dealing with business interests in the context of separation and divorce. We are experienced in all phases of divorce litigation from identifying and establishing the value of marital property and to resolving other sensitive and complex family law matters. The attorneys in this Group are active on local, state, and national levels, where they conduct seminars for attorneys, judges, and professional organizations.

Intellectual property
Complementing our business practice, the Intellectual Property Law Group deals with a wide range of intellectual property law issues, including preparation and prosecution of copyright and trademark registration applications, client counseling on copyright and trademark matters and trade secret matters and related transactions. The Intellectual Property Law Group can help establish intellectual property law processing procedures for protecting proprietary information and trade secrets, intake of invention disclosures, clearance of trademarks and preparation of agreements for use in securing intellectual property rights in work done by employees. We counsel clients on matters involving the right to manufacture and use new products, new product planning, the assignment of intellectual property rights as part of sale of a business, and drafting and negotiating licenses pertaining to patents, trademarks and copyrights. 

Wills, Estates and Trusts
Complementing our tax practice is the planning and administration of estates and trusts including the preparation of wills, trust agreements, powers of attorney and advanced health care directives. We handle matters such as corporate and partnership tax planning, personal estate planning, minimization of state and federal estate and gift taxes, eldercare and establishment and administration of trusts. Members of our firm frequently serve as speakers for continuing legal education seminars in estate planning and administration and are active in the Baltimore Estate Planning Council. 

Arbitration and Mediation
The Arbitration and Mediation Group provides an alternative to the traditional approach of dispute resolution through the judicial process. In arbitration, a binding and final decision is rendered, whereas in non-binding mediation, our attorneys assist clients in negotiating their own settlements. A wide range of legal areas often prove suitable for arbitration, specifically negligence actions, real estate disputes, contract interpretations, family law issues, and tort suits. One of our members is a former circuit court judge and brings to this process the unique perspective of serving as an arbitrator certified by Judicate and the American Arbitration Association. This Group also represents clients in domestic relations mediation, encompassing the valuation of marital property, alimony, child support and custody and visitation rights.

Real Estate
The Real Estate Group provides a complete range of services geared specifically to the real estate industry. For commercial clients and developers, this Group renders legal services for the purchase, sale, financing, development, and utilization of residential, commercial, and industrial real estate. Our attorneys are experienced in providing counsel in drafting and negotiating acquisition and sales agreements, forming business entities, and drafting and negotiating leases and construction contracts. We represent clients before planning, zoning, real estate tax assessment boards, and other governmental bodies. The Firm is involved in all stages of condominium and other planned community development, representing developers of both new construction and condominium conversion properties as well as associations of condominium unit owners and homeowners.  

Construction
The attorneys in the Construction Law Group have a wide variety of experience representating both builders and homeowners in construction disputes and defects. Within this Group is an attorney who is an architect and engineer and former construction manager. The Group consists of attorneys who are experienced litigators in commercial and construction litigation as well as, real estate transactions. 

White collar defense
The United States Attorney’s office in Maryland has always been a national leader in the prosecution of white collar criminal cases including fraud, tax evasion, political corruption and related crimes. The Maryland Attorney General and Maryland State Prosecutor also bring white collar cases. Andrew Radding, former Assistant United States Attorney in Maryland leads our white collar defense practice which not only undertakes representation of clients during the investigative stage and, if charges are brought, the defense of the case, but also provides representation in related civil litigation and administrative proceedings.
