David Pritzker is a member of Levenfeld Pearlstein's Real Estate Practice Group. He has experience representing equity sponsors in all aspects of structuring and formation of real estate private equity funds. His work in this area includes drafting private placement memorandums, subscription agreements, fund partnership agreements, REIT shareholder agreements, and tax opinions. He also advises private equity funds in connection with acquisitions, dispositions, financings, and general matters.
Overview
David has structured joint ventures focused on the acquisition and development of senior housing, medical office, student housing and self-storage properties. He has drafted and negotiated joint venture operating agreements, non-competition agreements, guaranty agreements, line of credit agreements, and security agreements.
He has also represented syndicator of investments in joint ventures featuring low-income housing and historic tax credits, wherein he drafted joint venture partnership, investment, management and development agreements, negotiated loan documents, supervised the due diligence review process, and advised clients on tax credit compliance matters.
