Overview
Mr. Simons represents privately held companies and fiduciaries with transactions involving employee stock ownership plans (ESOPs). He also represents privately held companies and other clients in other acquisition and disposition transactions, including mergers, asset and stock acquisitions and dispositions, and leveraged buyouts. Mr. Simons represents both borrowers and lenders in financing transactions, including corporate credit facilities, ESOP loan transactions, and asset-based financings. Mr. Simons represents clients across a broad spectrum of industries, including manufacturing, distribution, defense, and service businesses.
Mr. Simons advises clients on general business matters, including organization and dissolution, shareholder, buy-sell, and limited liability company operating agreements, organization and governance issues, confidentiality and nondisclosure agreements, employment agreements, and general business contracts.
