MSI's NYC law member Moses & Singer LLP provides an overview of recent M&A transactions the firm has been working on.
A team from Moses & Singer LLP, led by Jeffrey Davis, Co-Chair of the firm’s Corporate Department, represented software solutions specialist Pierry, Inc., a US-based agency with specialization in optimizing campaigns in Salesforce Marketing Cloud, in their deal with WPP Group-owned subsidiary Wunderman. WPP Group is an international advertising agency holding company headquartered in the United Kingdom. Wunderman acquired a majority stake in Pierry to build out Salesforce capabilities; terms of the deal were not publicly disclosed.
Pierry adds a headcount of approximately 100 across offices in New York City, Boulder, Colorado with an outlying office in Kyoto, Japan to International company WPP. It posted revenues of $14.5m for 2016, and boasts a client roster with names such as: LifeLock; Louisiana Tech University; plus Major League Soccer franchise the San Jose Earthquakes.
Moses & Singer assisted in all aspects of the negotiations of this transaction, working directly with top management of Pierry.
A team from Moses & Singer LLP, led by Jeffrey Davis, Co-Chair of the firm’s Corporate Department, represented Zubi Advertising in the sale of the agency to GTB Agency, LLC, a subsidiary of WPP Group, to a significant extent dedicated to the Ford Motor Company account. WPP Group is an international advertising agency holding company headquartered in the United Kingdom.
Zubi, a full-service advertising agency based in Coral Gables, Florida, has been focusing on the Hispanic market in the US and has represented Ford in this market. Through the acquisition of Zubi, WPP Group will be servicing Ford’s Hispanic account.
Zubi operations will continue to be conducted under its name, and will be reporting to GTB.
Moses & Singer assisted in all aspects of the negotiations of this transaction, working directly with top management of Zubi.
ABN AMRO Digital Impact Fund
Allan Grauberd and Justin Purtle of Moses & Singer LLP represented the ABN AMRO Digital Impact Fund in an investment in BehavioSec, Inc., which closed Monday, January 29. Behaviometrics deploys technology to authenticate users of banking services through behavioral biometrics. The transaction included the reorganization of a Swedish company (financed by European venture funds) into a Delaware corporation; which was then financed with $17.5 million in a B round from several other VC firms, including ABN AMRO, Trident Cybersecurity and Cisco Ventures, as well as the original European venture investors Octopus and Conor.
This was Moses & Singer’s second deal representing the ABN AMRO Digital Impact Fund, following its representation of this fund in an investment in Cloud Lending Solutions in the summer of 2017.
