Nova Partners successfully completes various M&A deals

MSI’s French Marseille based law member Nova Partners provides an overview of recent deals advised by the firm.

Growth Capital : Nova Partners assisted two major investment funds (including the French sovereign fund, BPIFrance) within a EUR 4m private equity transaction in Carré d’Artistes, which is an international network of art galeries. This transaction will enable Carre d’Artistes to extend its international expansion and pursue its digital transformation.

M&A : Nova Partners assisted two investment funds in the sale of Enovacom, a software publisher in the health sector with offices in Marseille, Paris, Montreal and London and a EUR 9.3m turnover in 2016, to Orange Business Service, a major IT/Digital actor.

M&A : MOJIX/CXIgnited: Nova Partners assisted MOJIX in the merger with CXIgnited. MOJIX is a Los Angeles-based company providing wide-area UHF RFID systems for retailers, as well as other vertical markets, such as manufacturing, health care, event security, and oil and gas. Based in Paris, CXignited was previously known as Tagsys RFID. In 2016, the company was rebranded to focus on retail, and to offer hybrid solutions that would address not only inventory management but the in-store experience, to help retailers compete with online sales. The merger will create a global solution provider that offers the versatility required by retailers, brands and manufacturers as they automate their inventory-management processes and boost in-store customer experiences.

Merger : Nova Partners assisted a French group specialized in designing, developing, producing and selling offshore floating vertical axis wind turbine power generator, with contra rotating turbines and pitching system in the gradual merger with a RPC group active in wind power turbine, energy storage, super computer and Chinese medicine.

Acquisition : LIM GROUP : Nova Partners assisted LIM GROUP, the world’s leading upmarket saddle group in the takeover of the UK company Lariot Ltd. This transaction will enable LIM GROUP to secure its sources of supply for raw materials. LIM GROUP is a French group with subsidiaries in Europe (Germany, Netherland, Belgium, UK, Portugal, Poland), North America (USA, Canada) and Asia.

Real estate : Nova Partners assisted a leading bank in the arrangement and the financing of a transaction including the business and the real estate of a luxury hotel based in Saint-Tropez, France. Amount of the term loan and the credit facilites: more than EUR 20M.

VDD : Nova Partners performed a legal and tax Vendor Due Diligence for a supermarket chain in the sector of ecological products, including food. The contemplated transaction is part of the consolidation of this this industry in France.

Nova Partners is currently assisting a French company engaged in the business of wholesale of electronic components, equipment and telecommunication active in the health field in the creation of a joint venture in the UK with a UK based group of companies having resources in financial technology infrastructure including Fintech, Blockchain as well as other innovative and disruptive technology platforms.
