K.B. Chau & Co. and CityLinkers deliver integrated financing solution for food and culinary group

MSI member firms K.B. Chau & Co. and CityLinkers in Hong Kong recently joined forces on a bespoke financing project in respect of an innovative food and culinary group (“Group”).

The Group consists of a portfolio of F&B businesses and a B2B platform with a focus on streamlining supply chain processes and enhancing food quality standards from farm to table.  The project involved establishing a special purpose company to extend a loan to the Group, following multidisciplinary due diligence. 

CityLinkers led the financial and tax due diligence, reviewing the Group’s financial performance, capital structure and tax position, and highlighting key considerations for the proposed loan and share conversion mechanics. Their work gave the client clear visibility on the Group’s financial health and tax risks, enabling informed decisions on the sizing and terms of the loan facility.

K.B. Chau & Co. handled the corporate setup, preparation of the loan facility documents and legal due diligence.  Our corporate team advised on the incorporation and configuration of the lending vehicle and conducted a review of its corporate structure, material contracts and regulatory compliance.  In parallel, our real estate department conducted a mortgage loan to finance the loan funds to the Group.

Within a couple weeks, the joint team from CityLinkers and K.B. Chau & Co. collaborated smoothly to handle everything necessary to facilitate the deal.  This project demonstrates the strength of MSI in Hong Kong, combining audit, tax, corporate and property expertise across two member firms to deliver a seamless, partner‑led solution for our client.
