Tito Isaac & Co LLP: Meet the corporate and commercial team
As MSI Global Alliance members prepare to gather in Singapore for the 2026 International Conference this October, Tito Isaac & Co LLP looks forward to welcoming fellow members to our home city and strengthening the relationships that make the MSI alliance so valuable.
As MSI's Singapore law firm member, we regularly work with businesses, entrepreneurs, investors and professional advisers on transactions and commercial matters involving Singapore and the wider Asia-Pacific region. Our Corporate & Commercial team combines transactional experience, in-house perspective and regulatory knowledge, allowing us to support clients not only on the legal mechanics of a transaction, but also on the commercial and operational considerations surrounding it.
Supporting businesses in Singapore and across borders
Singapore continues to serve as an important regional headquarters, investment and holding-company jurisdiction for businesses operating across Asia. Our Corporate & Commercial Practice supports clients throughout their business lifecycle, from establishing operations and structuring investments to acquisitions, joint ventures, corporate reorganisations and ongoing commercial arrangements.
Our work includes:
- mergers and acquisitions, including cross-border transactions;
- joint ventures and strategic investments;
- corporate restructurings and reorganisations;
- private equity and investment transactions;
- shareholders' agreements and investment agreements;
- corporate governance and shareholder matters;
- commercial contracts and business arrangements;
- financial services, fintech and digital asset regulatory matters;
- data protection and regulatory compliance; and
- general corporate advisory and ongoing legal support, including through retainer arrangements.
Through our retainer arrangements, we support clients with their day-to-day corporate, commercial, regulatory and compliance matters. Our retainer clients operate across a range of industries, including licensed trust companies, MAS-regulated entities, industrial commodity suppliers and manufacturers, business financing companies, fintech companies, network and telecommunications original equipment manufacturers and more. Through these arrangements, we support clients with their day-to-day corporate, commercial, regulatory and compliance matters, providing practical and timely legal assistance as their businesses evolve.
For cross-border matters, we recognise that Singapore advice is often only one part of a larger transaction. Working with MSI member firms enables us to coordinate with trusted advisers in other jurisdictions and provide clients with a more seamless international service.
The value of that collaboration was recently demonstrated when Tito Isaac & Co LLP worked alongside MSI firms from several jurisdictions on merger-control aspects of a multi-jurisdictional acquisition. It is precisely this ability to bring together local knowledge across borders that makes the MSI network particularly valuable to our clients.
Meet our Corporate & Commercial team
Ferris Yu – Partner and Head of Corporate & Commercial
Ferris leads the firm's Corporate & Commercial Practice. Before entering private practice, she spent more than a decade in-house, ultimately serving as General Counsel and Company Secretary of an international business.
That experience continues to shape her approach to private practice. Having worked on the client side, Ferris is particularly conscious that legal advice must be technically sound while remaining commercially workable and responsive to the realities in which management teams operate.
Her practice focuses on corporate and commercial law, mergers and acquisitions, corporate restructuring, cross-border transactions, funds and investments, employment matters, data protection and regulatory compliance. She regularly works with business owners, senior management and investors on transactional and strategic matters and is fluent in English and Mandarin.
Nicholas Cai – Associate
Nicholas practises in corporate and commercial law with particular experience in financial services, fintech, blockchain, digital assets, funds and investments.
Before joining private practice, Nicholas worked as in-house legal and compliance counsel in both the digital asset and financial-services sectors. His combination of transactional and regulatory experience is particularly relevant to clients operating in newer or heavily regulated industries.
Nicholas also serves as the firm's Legal Technology and Innovation Officer, supporting the firm's adoption of technology and the development of more efficient ways of delivering legal services.
Sherwyn Lee – Associate
Sherwyn is admitted to practise in both Singapore and Australia. He began his legal career as a solicitor in Sydney before returning to Singapore.
His current practice encompasses corporate and commercial law, financial-services regulation and compliance, personal data protection and related advisory work. His experience across two common-law jurisdictions adds a useful international perspective to the team's work, particularly where clients or transactions involve multiple markets.
Chee Hien Fhong – Associate
Hien Fhong recently joined the firm's growing Corporate & Commercial Practice. He is a Singapore-qualified Advocate and Solicitor and holds an LL.B. (Honours) from the Singapore University of Social Sciences. His practice encompasses corporate and commercial advisory, transactions, regulatory compliance and data protection matters.
Before qualifying as a lawyer, Hien Fhong accumulated substantial professional experience in corporate, risk-management and data-protection roles. He also holds professional qualifications in data protection, bringing to the team a combination of legal training and practical experience of working within organisations.
A Singapore connection within MSI
Our approach is straightforward: we want MSI member firms to regard us as an extension of their own team whenever their clients require Singapore legal assistance.
Whether the matter involves a client acquiring a Singapore business, establishing an Asian operation, bringing in an investor, reorganising a regional group, entering into a joint venture or simply requiring advice on a Singapore commercial agreement, our team is available to work alongside fellow MSI members and their clients.
Cross-border work is ultimately built on relationships between trusted advisers. The opportunity to know the lawyers, accountants and tax professionals behind those relationships is therefore particularly important to us.
We look forward to welcoming MSI members to Singapore in October, reconnecting with familiar faces and meeting many others in person for the first time.
