Japan: Interim draft proposes significant Companies Act amendments

MSI’s Japanese law member, Aquaxis Law Office, provides an overview of the key proposals contained in Japan’s 2026 Interim Draft Companies Act Amendment, which would introduce significant reforms across capital formation, M&A transactions, shareholder meetings, shareholder engagement, and corporate governance.

The proposed amendments aim to modernize Japan’s corporate legal framework by expanding equity compensation options, facilitating in-kind contributions and share-for-share acquisitions, streamlining post-tender offer squeeze-out procedures, accelerating the digitalization of shareholder meetings, enhancing transparency regarding beneficial ownership, and reducing compliance burdens for listed companies.

If enacted, these reforms could materially affect how Japanese companies raise capital, conduct M&A transactions, manage shareholder relations, and structure corporate governance, making it important for companies, investors, and management teams to closely monitor future legislative developments.”
